Hero Terms and Conditions

These Terms and Conditions (the "Terms") govern your access to and use of Hero (the "Services"), operated by Shape Technical Consulting LTD trading as Hero ("Hero", "we", "us", "our"). By creating an account, accessing, or using the Services, you agree to these Terms.

2. Eligibility and Account Responsibilities

You must be at least 18 years old and have authority to act on behalf of your business to use the Services.

  • Keeping your account credentials secure.
  • Ensuring account details and user permissions are accurate.
  • All activity that occurs under your account.

3. Service Description

Hero provides software tools for time tracking, invoice generation, and related workflow automation. Hero does not act as a payment processor, bank, escrow provider, financial institution, accountant, legal adviser, or tax adviser.

4. Invoice Accuracy and User Responsibility

You are solely responsible for reviewing and confirming the accuracy of all invoice content before issuing any invoice through the Services, including rates and amounts, tax treatment and totals, client details and payment instructions, and dates, line items, and scope descriptions.

Hero provides invoice generation functionality as a software tool only. Hero does not process, receive, hold, control, or transfer customer funds between parties.

To the maximum extent permitted by law, Hero is not liable for any loss, claim, dispute, chargeback, refund request, overpayment, underpayment, or other consequence arising from inaccurate, incomplete, or incorrect invoice data entered, approved, generated, or sent by you or your users.

If an invoice is issued incorrectly, responsibility for correction, communications, refunds, and any resulting commercial or legal fallout remains with you.

5. Acceptable Use

  • Use the Services for unlawful, fraudulent, or misleading activity.
  • Interfere with or disrupt the Services.
  • Attempt unauthorised access to systems or data.
  • Upload malicious code or harmful content.

We may suspend or terminate access where we reasonably believe misuse has occurred.

6. Fees and Billing

Paid plans, pricing, and billing cycles are described on our pricing pages or order terms.

  • Fees are payable in advance and non-refundable.
  • You must provide complete and accurate billing details.
  • We may suspend paid features for overdue invoices.
  • Subscriptions renew automatically for successive billing periods unless cancelled before the next renewal date.
  • You may cancel at any time, and cancellation takes effect at the end of the current paid billing period.

We do not provide full or partial refunds for unused time in a billing period, except where required by applicable law.

7. Intellectual Property

All rights, title, and interest in the Services, platform design, and software remain with Hero and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes.

8. Data and Privacy

Your use of the Services is also governed by our Privacy Policy at /privacy-policy. You are responsible for ensuring you have legal grounds to upload or process any personal data through the Services.

9. Service Availability and Changes

We may update, modify, or discontinue features from time to time. We do not guarantee uninterrupted or error-free operation, but we will use reasonable efforts to maintain service availability.

10. Warranties Disclaimer

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Hero disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by law, Hero will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, data, or business opportunity.

Hero's total aggregate liability in connection with the Services and these Terms will not exceed the total fees paid by you to Hero for the Services in the 6 months before the event giving rise to liability.

12. Indemnity

You agree to indemnify and hold harmless Hero, its directors, officers, employees, and affiliates from claims, liabilities, damages, and costs arising out of your use of the Services, your breach of these Terms, and content, invoices, or data you create or send using the Services.

13. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your account if you materially breach these Terms, create security risk, or where required by law. Upon termination, your right to use the Services ends immediately.

Following termination, Hero may retain account and workspace data for as long as reasonably necessary for operations, legal compliance, fraud prevention, dispute handling, and backup integrity. Where feasible, Hero may provide data export assistance on request.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Subject to any mandatory consumer rights, the courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Your continued use after an update takes effect means you accept the revised Terms.
